PORTALBERITA.CO.ID - British retail behemoth Frasers Group initiated an unsolicited takeover bid on Wednesday, aiming to secure 100% ownership of the esteemed German fashion brand, Hugo Boss. This move, reported by the BBC, seeks to consolidate Frasers' existing significant stake in the luxury retailer.

The company, which currently holds just over a quarter of Hugo Boss shares, proposed purchasing the outstanding equity at €38 per share. This valuation represents a notable premium over the stock's recent closing price of €36.50.

Frasers Group, the entity overseen by billionaire Mike Ashley and owner of well-known names like House of Fraser and Jack Wills, anticipates the transaction could finalize by the close of this year, pending necessary regulatory approvals.

The necessity for this comprehensive offer stems from German legal requirements, which mandate a full bid once a stake approaches the 30% threshold, a level Frasers is nearing following incremental share purchases since 2020.

Hugo Boss management confirmed the receipt of the proposal, emphasizing that the offer arrived without any prior coordination or discussion with the British retail conglomerate.

"This acquisition attempt arrived without prior warning or collaboration from the British retail conglomerate," stated Hugo Boss spokespersons for the fashion retailer.

The German fashion firm has announced that its board will now thoroughly evaluate the unsolicited documentation before issuing a formal, reasoned statement to its investors.

"Hugo Boss will thoroughly examine the offer and issue a reasoned statement," representatives of the fashion brand confirmed regarding their next steps.

Frasers defended its aggressive expansion strategy by citing its successful history of strategic corporate investments and its commitment to preserving the German brand's current leadership structure.
